1. Agreement to Terms

These Terms of Services ("Agreement") govern your access to and use of the website and platform located at https://tariffdestroyer.com ("Site"), operated by TariffDestroyer LLC. By accessing or using the Site, including submitting an application, completing the verification process, or making a payment, you ("User") agree to be bound by these Terms.

If you do not agree with any part of this Agreement, you may not use the Site or services. Acceptance is confirmed by checking the box at the time of payment or registration. By checking the box and submitting payment or registration, you affirmatively agree to be bound by these Terms of Services.

2. Eligibility

Access to TariffDestroyer.com is available exclusively to verified users, meaning individuals or businesses that have successfully completed our internal application and screening process. Verification is conducted by TariffDestroyer LLC and is required before platform access is granted. While the platform is designed for use by wholesalers, we do not impose minimum size or revenue thresholds. Solo operators and small-scale wholesalers are welcome to apply. The platform is not intended for personal shopping, individual consumers, or end users who are not engaged in wholesale or sourcing activity.

3. Account Verification and Payment Requirements

Users must submit an application and undergo a verification process conducted by TariffDestroyer LLC before access is granted. Upon verification and approval, users are required to pay a $200 entry fee, which grants access to the platform and covers the first month of service.

After the initial month, users will be automatically enrolled in a $20/month subscription, billed monthly via Stripe.

A “Cancel Account” option will be available in the user dashboard. Canceling will end future subscription billing after the current billing cycle.

4. Non-Refundable Entry Fee Policy

The $200 entry fee is non-refundable under any circumstances after the initial seven (7) days from the date of payment, regardless of platform usage, account cancellation, or user satisfaction. However, if a user cancels their account by clicking the "Cancel Account" button in the dashboard within the first 7 days of activation, they will receive a full refund. No written request is required if cancellation is completed within this window.

Quote turnaround time is typically 1–15 days. Users who cancel within this window acknowledge that quotes may not have been delivered prior to cancellation, and refunds are not contingent upon quote delivery status.

5. Subscription Billing Policy

Subscription billing begins automatically after the first month of access. The user’s payment method will be charged $20 every 30 days unless canceled. Payments are processed through Stripe, and users are responsible for maintaining accurate payment information.

Users may cancel their subscription at any time. Cancellations take effect at the end of the current billing cycle. No refunds will be issued for unused time or partial months.

All subscriptions are billed on a monthly basis and are non-refundable once the 7-day refund window from the entry fee has passed. No partial-month credits or prorated refunds will be issued.

6. User Conduct and Acceptable Use

Users agree to conduct themselves professionally while using the platform. The following behaviors are strictly prohibited:

Impersonating another business or individual
Scraping data, reverse engineering, or copying chatbot content
Using the platform for personal shopping or consumer purposes
Harassing, threatening, or misusing support channels
Sharing access credentials with unverified individuals

TariffDestroyer LLC reserves the right to suspend or terminate any account that violates these terms without notice or refund.

7. Platform Availability and Service Modification

TariffDestroyer.com is a developing platform. TariffDestroyer LLC may add, remove, modify, or limit features, pricing, or access levels at any time with or without prior notice. While we strive for high availability, we do not guarantee uninterrupted service and will not be held liable for outages or downtime.

This service is currently offered in Beta. As such, performance, quote turnaround time, and feature availability may vary. By using the platform, users acknowledge that they are participating in a Beta program and that results, quote speed, and sourcing outcomes are subject to change.

8. Intellectual Property

All content, code, design elements, databases, models, and text on TariffDestroyer.com are the intellectual property of TariffDestroyer LLC and/or its licensors. Users may not reproduce, repurpose, or redistribute any portion of the platform without prior written consent.

The AI assistant and all responses generated remain the property of TariffDestroyer LLC and may not be republished, rebranded, redistributed, or commercially reused. Users are not permitted to export chatbot responses for resale, derivative works, or unauthorized analysis.

The chatbot is provided as a business advisory tool only. Information provided through the chatbot does not constitute legal, financial, or compliance advice.

9. Limitation of Liability

TariffDestroyer LLC is not liable for any indirect, incidental, consequential, or punitive damages arising from the use of the Site or its services, including but not limited to lost profits, lost data, or business interruption.

Our maximum liability for any claim related to this Agreement or the services provided shall not exceed the total amount paid by the user in the twelve (12) months prior to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TariffDestroyer LLC, its affiliates, employees, contractors, and service providers from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the platform, violation of these Terms, or infringement of any rights of a third party.

11. Termination of Accounts

TariffDestroyer LLC reserves the right to terminate or suspend any user account, with or without cause, and without refund, if we determine in our sole discretion that the user has violated these Terms, engaged in fraudulent activity, or posed a risk to the integrity of the platform.

12. Governing Law

This Agreement shall be governed and construed in accordance with the laws of the State of New York, without regard to conflict of law provisions.

13. Dispute Resolution & Arbitration Clause

Any dispute, claim, or controversy arising out of or relating to this Agreement or the use of the platform shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in New York County, NY, and the decision of the arbitrator shall be final and enforceable in any court of competent jurisdiction.

Users waive any right to bring a class action lawsuit and agree to resolve disputes on an individual basis.

14. Privacy and Data Handling Summary

We collect certain user and usage data in accordance with our Privacy Policy, including information submitted via application forms, chat interactions, quote request forms, and internal usage metrics. Data is stored securely and used solely for the purpose of providing platform services, analyzing performance, improving customer experience, and facilitating sourcing operations.

The chatbot may request users to submit SKU-level information, product categories, order volumes, preferred shipping locations, supplier types, and other relevant business details in order to match them with potential manufacturers. This information is used internally to generate quotes and facilitate cost-saving recommendations.

Data submitted through chat or forms may be processed by third-party vendors including OpenAI, Zapier, Airtable, and Chatbase. We do not sell user data under any circumstances. All data is encrypted in transit and stored securely. Users may request access to or deletion of their data at any time by contacting Info@tariffdestroyer.com.

Users are responsible for safeguarding their login credentials. We recommend using strong passwords and enabling multi-factor authentication when available. TariffDestroyer LLC is not responsible for unauthorized access due to compromised user accounts.

15. Stripe and Third-Party Payment Handling

All payments are processed by Stripe, a third-party PCI-compliant payment processor. By submitting payment, you also agree to Stripe’s Terms of Service and Privacy Policy. We do not store or have access to your full payment information.

16. Notice of Changes to the Agreement

We may update these Terms of Services at any time. Any changes that affect your rights or obligations will be communicated via the email associated with your account or displayed on the platform. Continued use of the platform after such updates constitutes your acceptance of the revised Terms.

17. User Responsibility for Accuracy

Users are solely responsible for the accuracy, completeness, and timeliness of all information submitted through the chatbot or form system. TariffDestroyer LLC is not responsible for incorrect, outdated, or misinterpreted SKUs, volumes, shipping information, or other data supplied by users.

All quotes and sourcing recommendations are based on the data provided by the user. Any errors in such data may affect the outcome, reliability, or feasibility of the recommendations received.

18. Beta Program Limitations

TariffDestroyer.com is currently offered as a Beta product. By using the platform, you agree that:

You are participating in a test-phase product
Certain features may be modified, added, or removed without notice
Quote delivery times may vary based on supplier availability, data completeness, and platform performance
There may be intermittent technical issues or limitations in functionality

Participation in the Beta program is voluntary. Users should not rely on the platform as their sole sourcing method during the Beta phase.

19. Third-Party Services Disclosure

TariffDestroyer LLC uses third-party technologies including OpenAI (for AI responses), Chatbase (for chatbot interface), Stripe (for payment processing), Airtable (for data storage), and Zapier/Make (for automation).

We are not responsible for downtime, service interruptions, or data issues caused by third-party providers. Use of the platform implies agreement with the terms of these providers.

20. Quote Generation Disclaimer

Quotes generated by TariffDestroyer LLC are estimates based on available supplier data, order volumes, shipping information, and other relevant variables.

Quote turnaround is typically 1–15 days, but not guaranteed
Quotes may not be available for all requests or industries
All quotes are subject to change due to supplier constraints, geopolitical conditions, or changes in user-submitted data
We do not guarantee that quotes will result in a savings outcome

21. User Licensing & Restrictions

Users are granted a limited, non-exclusive, non-transferable license to access and use the platform for legitimate sourcing and tariff research purposes only.

Users may not:

Share their account with unauthorized individuals
Repurpose chatbot responses for commercial resale
Integrate the platform or its outputs into competing services
Circumvent access controls or scrape protected content

All rights not expressly granted remain the sole property of TariffDestroyer LLC.

22. Entire Agreement

These Terms of Services constitute the entire agreement between the user and TariffDestroyer LLC regarding use of the Site and its services and supersede any prior agreements, understandings, or representations. No verbal or informal communication shall override these written terms.

Any failure by TariffDestroyer LLC to enforce any provision of these Terms shall not constitute a waiver of such rights.
